Important: This document is a general SaaS agreement prepared for Quiix. It should be reviewed by a qualified legal professional before public launch or commercial reliance.

1. Acceptance of this Agreement

This End User License Agreement (“Agreement”) governs your access to and use of Quiix, including the Quiix website, application, documentation, onboarding pages, public forms, shared dataset functions, analytics, export tools and related services.

By registering an account, accessing Quiix, using the service, creating a dataset, submitting data through a public form or continuing to use Quiix after this Agreement is updated, you agree to be bound by this Agreement. If you do not agree, you must not use Quiix.

2. Definitions

For the purpose of this Agreement:

  • “Quiix” means the Quiix data management and dataset builder platform.
  • “Service” means all software, websites, applications, tools, interfaces, documentation and support provided by Quiix.
  • “User”, “you” or “your” means any person or organisation accessing or using Quiix.
  • “Dataset” means a data structure created by a user, including custom fields, records, settings, permissions and related metadata.
  • “User Content” means datasets, records, uploads, images, public form submissions, notes, configurations and any other content submitted to Quiix by users or respondents.
  • “Public Data” means data collected through public forms, public links, QR codes or other public submission channels enabled by a user.
  • “Shared Data” means datasets or records shared with another registered user subject to permissions granted by the dataset owner.

3. Eligibility

You may use Quiix only if you are legally capable of entering into this Agreement and are not prohibited from using the service under applicable law. If you use Quiix on behalf of an organisation, agency, school, company or project team, you represent that you have authority to do so and that such organisation agrees to this Agreement.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity carried out through your account. You agree to provide accurate registration information, keep your account details updated and notify Quiix promptly if you suspect unauthorised access.

You must not share, sell, transfer or allow another person to use your account except where expressly allowed by Quiix. Quiix may suspend or restrict accounts that appear to be compromised, misused or used in breach of this Agreement.

5. Subscription Plans

Quiix may offer Free, Pro, Enterprise or other plans. Plan limits, features and pricing may differ depending on the current offering displayed on the Quiix website or application.

Unless otherwise stated, the Pro plan may be offered at RM45 per year. Quiix may modify plan features, usage limits, pricing or availability from time to time. Where practicable, Quiix will provide reasonable notice for material changes affecting existing paid users.

Subscription fees are generally non-refundable once access has been activated, except where required by applicable law or expressly stated by Quiix.

6. Permitted Use

Subject to this Agreement, Quiix grants you a limited, revocable, non-exclusive, non-transferable right to access and use the service for lawful data collection, dataset management, collaboration, reporting, analytics and export purposes.

You may create datasets, define custom fields, collect records, enable public forms, share datasets, review analytics, generate QR codes and export data according to the features and limits available in your plan.

7. Prohibited Activities

You must not use Quiix for unlawful, harmful, deceptive or abusive activity. Prohibited uses include, without limitation:

  • phishing, spam, malware, credential harvesting or unauthorised scanning;
  • collecting personal data without lawful basis, notice or consent where required;
  • illegal gambling, illegal drugs, fraud, terrorist content or exploitation of minors;
  • harassment, hate-based abuse, threats, doxxing or invasive surveillance;
  • copyright infringement or distribution of unlawful materials;
  • attempting to bypass security controls, overload systems or access other users’ datasets without permission.

8. User Content and Dataset Ownership

You retain ownership of your User Content, including datasets, records, uploaded files and form configurations. Quiix does not claim ownership of your User Content.

By using the service, you grant Quiix a limited licence to store, process, transmit, display, back up and secure User Content solely as necessary to operate, maintain, protect and improve the service.

You are responsible for the accuracy, legality, quality and appropriateness of User Content. Quiix may remove or restrict access to content that appears to violate this Agreement, applicable law or the rights of any third party.

9. Public Data and Public Forms

Quiix may allow users to enable public forms, public URLs, QR codes, CAPTCHA protection and public submissions. If you enable Public Data features, you are responsible for the form content, the type of information collected, the notices provided to respondents and the lawful handling of submitted data.

Public form submissions may include field values, timestamps, IP addresses and security metadata. These may be used to support reporting, abuse prevention, spam protection and audit functions.

Quiix acts as a technology platform and does not control the accuracy, completeness or legality of data submitted by third parties through public forms.

10. Shared Data and Permissions

Dataset owners may share datasets with other users and assign permissions such as view access, add record access, edit record access, analytics access or export access, depending on system availability and plan limits.

Shared users must use shared datasets only within the permissions granted by the dataset owner. Unless expressly permitted by the system, shared users may not modify the dataset structure, ownership settings or subscription status.

Dataset owners remain responsible for managing access, reviewing permissions and removing users who no longer require access.

11. Data Storage, Retention and Backups

Quiix may store User Content, logs, IP addresses, timestamps, metadata and related technical information to operate the service, maintain security, prevent abuse and support reporting or export functions.

Quiix may perform backups for operational purposes, but backups are not guaranteed to be available for individual user-level restoration. You are encouraged to regularly export important data and keep independent copies where necessary.

Quiix may delete inactive accounts, expired trial data, suspended accounts or content associated with terminated accounts in accordance with its operational policies and applicable law.

12. Intellectual Property

Quiix, including its software, source code, user interface, design, logos, documentation, templates, workflows, database structure, icons and branding, is owned by Quiix or its licensors.

Except for the limited right to use the service under this Agreement, no intellectual property rights are transferred to you. You may not copy, resell, sublicense, modify, distribute, reverse engineer or create derivative works of Quiix without prior written permission.

13. Privacy and Personal Data

Your use of Quiix may involve the processing of personal data, including account information, dataset records, public submissions, IP addresses, usage logs and support communications.

You are responsible for ensuring that you have a lawful basis to collect and process personal data through Quiix. Where applicable, you agree to comply with the Personal Data Protection Act 2010 of Malaysia and any other privacy or data protection laws that apply to your use case.

Quiix’s handling of personal data is further described in the Privacy Policy or Platform Policy published by Quiix.

14. Service Availability

Quiix aims to provide a reliable service, but does not guarantee uninterrupted, secure or error-free operation. The service may be unavailable due to maintenance, upgrades, security work, hosting disruptions, internet issues, third-party service failures or events beyond reasonable control.

15. Disclaimer of Warranties

Quiix is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Quiix disclaims all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability and data loss prevention.

16. Limitation of Liability

To the fullest extent permitted by law, Quiix shall not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profits, loss of business, loss of reputation, loss of data, interruption of operations or unauthorised access, even if Quiix has been advised of the possibility of such damages.

Where liability cannot be excluded, Quiix’s total aggregate liability shall be limited to the amount paid by you to Quiix for the relevant service during the twelve months preceding the event giving rise to the claim, or RM45 if no paid subscription exists.

17. Indemnification

You agree to indemnify and hold Quiix harmless from claims, losses, damages, liabilities, costs and expenses arising from your use of the service, your User Content, your public forms, your violation of this Agreement, your breach of law, or your infringement of third-party rights.

18. Suspension and Termination

Quiix may suspend, restrict or terminate access to the service if you violate this Agreement, create legal or security risk, misuse the service, fail to pay applicable fees or engage in conduct that may harm Quiix, other users or third parties.

You may stop using Quiix at any time. Upon termination, your right to access the service ends. Quiix may retain or delete account data and User Content according to its retention practices and legal obligations.

19. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Malaysia. Subject to any mandatory legal requirement, the courts of Malaysia shall have jurisdiction over disputes arising from or relating to this Agreement or the use of Quiix.

This Agreement may be updated from time to time. Continued use of Quiix after an update means you accept the revised Agreement.
